Terms of Service

1. Acceptance of Terms

By downloading, installing, or using ParrotKey ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

ParrotKey is provided by AppMachine B.V., a company registered in the Netherlands ("we," "our," or "us").

2. Description of Service

ParrotKey is a voice-to-text dictation application that provides:

  • Voice Transcription: Convert spoken words to text using AI-powered speech recognition
  • Cross-Platform Support: Available for macOS and Windows
  • Multiple Transcription Options: Choose between local (on-device) and cloud-based transcription
  • Productivity Features: Custom dictionaries, text snippets, notes, and statistics
  • Cloud Sync: Optional synchronization across devices
  • Team Features: Shared dictionaries and collaborative tools for teams

3. Account Registration

3.1 Account Requirements

To use certain features of ParrotKey, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access

3.2 Account Restrictions

  • You may only create one account per person
  • You must be at least 16 years old to create an account
  • Accounts are non-transferable

4. Acceptable Use

4.1 Permitted Uses

You may use ParrotKey for lawful personal or business purposes, including:

  • Personal dictation and note-taking
  • Professional documentation
  • Content creation
  • Accessibility assistance

4.2 Prohibited Uses

You agree NOT to:

  • Record others without consent: Use ParrotKey to transcribe conversations or recordings of other people without their explicit consent
  • Engage in illegal activities: Use the Service for any unlawful purpose or in violation of any applicable laws
  • Circumvent security: Attempt to bypass, disable, or interfere with security features
  • Reverse engineer: Decompile, disassemble, or reverse engineer any part of the Service
  • Distribute malware: Upload or transmit viruses, malware, or other harmful code
  • Misrepresent AI output: Present AI-generated transcriptions as human-generated content where such distinction is material or required by law
  • Abuse the Service: Use automated systems to overload or abuse the Service
  • Infringe rights: Violate the intellectual property or privacy rights of others

4.3 Content Restrictions

You may not use ParrotKey to transcribe content that:

  • Is illegal, harmful, or fraudulent
  • Infringes on intellectual property rights
  • Contains hate speech or promotes violence
  • Violates the privacy of others

5. Intellectual Property

5.1 Your Content

  • You retain full ownership of all content you create using ParrotKey
  • This includes your voice recordings, transcriptions, notes, and custom dictionary entries
  • You grant us a limited license to process your content solely for providing the Service

5.2 Our Intellectual Property

  • ParrotKey, including its software, design, and branding, is owned by AppMachine B.V.
  • These Terms do not grant you any rights to our trademarks, logos, or brand features
  • You may not copy, modify, or distribute our software without permission

5.3 Feedback

If you provide suggestions or feedback about ParrotKey, you grant us the right to use such feedback without restriction or compensation.

6. Transcription Accuracy Disclaimer

6.1 No Guarantee of Accuracy

IMPORTANT: ParrotKey uses artificial intelligence for speech recognition. We do not guarantee 100% accuracy of transcriptions. Accuracy may vary based on:

  • Audio quality and background noise
  • Accents and pronunciation
  • Technical terminology or uncommon words
  • Language and dialect

6.2 User Responsibility

  • You are solely responsible for reviewing and verifying all transcriptions
  • Do not rely on unverified transcriptions for legal, medical, financial, or other critical documents
  • Always proofread important content before use

6.3 Not Suitable Without Review

ParrotKey transcriptions should NOT be used without human review for:

  • Legal documents or contracts
  • Medical records or prescriptions
  • Financial transactions
  • Official communications
  • Any context where errors could cause harm

7. Third-Party Services

7.1 Transcription Providers

ParrotKey allows you to choose from multiple transcription providers:

Cloud Providers: OpenAI, Groq, Cloudflare, Soniox, ParrotKey Cloud Local Models: Whisper, Parakeet

Each provider has its own terms of service and privacy policy. By selecting a provider, you agree to their respective terms.

7.2 Our Responsibility

We are not responsible for the performance, accuracy, or availability of third-party transcription services. We make reasonable efforts to integrate reliable providers but cannot guarantee their service levels.

7.3 Data Handling

Your data is handled according to our Privacy Policy and the respective third-party provider's policies.

8. Subscription & Payment

8.1 Free Tier

ParrotKey offers a free tier with limited features and usage. Free tier limitations are described on our website and may change over time.

8.2 Paid Subscriptions

  • Subscription plans and pricing are available at https://parrotkey.ai/pricing
  • Payments are processed securely through Paddle
  • Subscriptions automatically renew unless cancelled

8.3 Billing

  • You authorize us to charge your payment method for subscription fees
  • Prices may change with 30 days notice
  • Taxes may apply based on your location

8.4 Refund Policy

  • Trial Period: Cancel within 14 days for a full refund
  • Annual Subscriptions: Pro-rated refund within 30 days of purchase
  • Monthly Subscriptions: No refunds for partial months
  • Refund requests: support@parrotkey.ai

8.5 Cancellation

  • Cancel anytime through your account settings or by contacting support
  • Access continues until the end of your billing period
  • No refunds for unused time (except as noted above)

9. Team Features

9.1 Team Accounts

Team accounts allow multiple users to collaborate with shared resources.

9.2 Administrator Responsibilities

Team administrators are responsible for:

  • Managing team member access
  • Ensuring team members comply with these Terms
  • Controlling shared content and settings
  • Maintaining appropriate security practices

9.3 Shared Content

  • Content shared within a team is accessible to all team members
  • Team administrators control who can add, edit, or remove shared content
  • Individual members retain ownership of their personal content

9.4 Member Removal

When a team member is removed:

  • They lose access to shared team resources
  • Their personal content remains with them
  • Shared content they created remains with the team

10. Limitation of Liability

10.1 Service Provided "As Is"

PARROTKEY IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Accuracy or reliability of transcriptions

10.2 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, APPMACHINE B.V. SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, data, or business opportunities
  • Damages arising from transcription errors or inaccuracies
  • Interruption of service or loss of access

10.3 Maximum Liability

Our total liability for any claims arising from these Terms or your use of ParrotKey shall not exceed the amount you paid us in the 12 months preceding the claim.

10.4 Essential Purpose

Some jurisdictions do not allow limitation of liability for certain damages. In such cases, our liability is limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify and hold harmless AppMachine B.V., its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use of ParrotKey
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Content you create or share using the Service

12. Termination

12.1 Termination by You

You may stop using ParrotKey and delete your account at any time through:

We may suspend or terminate your access if:

  • You violate these Terms
  • We are required by law
  • We discontinue the Service (with reasonable notice)

12.3 Effect of Termination

Upon termination:

  • Your right to use ParrotKey ends immediately
  • We may delete your data after a reasonable retention period
  • You can request data export before deletion
  • Sections that should survive termination will remain in effect

13. Dispute Resolution

13.1 Informal Resolution

Before initiating formal proceedings, you agree to contact us at support@parrotkey.ai to attempt to resolve any dispute informally.

13.2 Governing Law

These Terms are governed by the laws of the Netherlands, without regard to conflict of law principles.

13.3 Jurisdiction

Any disputes shall be resolved in the courts of Amsterdam, Netherlands, except where EU consumer protection laws provide otherwise.

13.4 EU Consumer Rights

If you are a consumer in the European Union, you retain all mandatory consumer protection rights under the laws of your country of residence.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy and GDPR Compliance document, constitute the entire agreement between you and AppMachine B.V.

14.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.

14.3 No Waiver

Our failure to enforce any right or provision does not waive our right to enforce it later.

14.4 Assignment

You may not assign your rights under these Terms. We may assign our rights to a successor or affiliate.

14.5 Modifications

We may modify these Terms at any time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect.
